Sell-side mandate
Decision to sell an equity stake in a company can be motivated by a number of reasons. For instance, a shareholder might want to realise a return on investment, dispose of non-core business or obtain resources for new projects.

The most important element of the end-result is the negotiated terms, which depend on how the opportunity is presented, whether the right type of investors is reached, and how negotiations are carried out. At P&S Group we act exclusively in the best interest of our clients, and capitalise on an in-depth understanding of needs, drivers and motivation of different types of investors.

There are 4 main stages of the process, each of which involves a number of distinct activities, presented in the table below.

Sell-side mandate process:

Activities:

  • Collecting responses and feedback on the investment opportunity.

Negotiation
  • Meetings with interested acquirers.
  • Analysis of preliminary offers.
  • Determining a negotiations strategy.
  • Coordination of due diligence by selected acquirers.
  • Collection and analysis of binding offers.

Conclusion
  • Selection of the best offer.
  • Preparation of the transaction documentation.
  • Concluding the deal.

P&S Group professionals can assist a company with organisation of the whole process or individual stages / activities. This would allow executives to get involved only at certain crucial moments, while maintaining complete focus on the core business operations.

Sometimes, unfortunately, an investment proposal does not trigger responses of interest from prospective investors for reasons external to the company. This can be due to perceived level of risk in the country of company’s operations, unfavourable regulatory changes, other global opportunities perceived as more attractive. In such case, we will assist shareholders with determining short and medium term strategy and expectations. Timing plays a crucial role in the process, and while it is not possible to provide any guarantees in the short term, persistence, determination and structured approach are bound to bring about results.
